Contract Exercise

Introduction

A contract is an agreement between two or more parties.  Each party promises to do or not to do something. The five elements of a valid contract are: the offer, acceptance, consideration, capacity of parties to contract, and legal purpose. Contracts can be formed between individuals, businesses or a combination of both. Even individuals within a family can form a contract as legal backup and protection in supporting promises made. In our paper, we have drafted a contract between two parties in a family containing the essential elements of a valid contract.

Background

        Horace Grump is an eighty-year old bachelor living on his cattle ranch in Bisbee, Arizona. Nettie Samaritan is his niece and only living relative residing in Fairbanks, Alaska. Approximately six months ago, Horace fractured both his legs in a horse riding accident on the ranch and now moves with the aid of a walker. Horace has come to the realization he needs help in managing his ranch. The only person he feels he can trust is his niece Nettie. Nettie is enjoying a good life with a strong circle of friends in Alaska and is currently attending graduate nursing school. Horace contacted Nettie with a vague offer asking her to relocate from Alaska to Arizona to assist Horace in running his ranch.

Offer

        In Horace’s verbal offer to Nettie, he stated if she moves to Arizona to help care for him and manage his ranch, he would provide for her and remember her in his will. This vague offer could actually be very generous or disastrous. There was no concrete security or guarantee for Nettie in Horace’s initial offer. Perhaps to Horace his offer was specific – move to Arizona, manage my ranch and I will support you. However, Nettie needed a more formal agreement in order to consider relocating and starting a new life in Bisbee. An offer must contain a specific promise and specific demand.  The language of the offer must be clear and concise.

Acceptance

        Nettie is truly concerned about her uncle and is considering the move. In order to accept the offer, Nettie needs the terms of the proposed agreement with her Uncle Horace to be clearly documented. She is concerned about her moving expenses, completion of her education, compensation for managing the ranch and household, and what will ultimately happen to the ranch when her uncle dies.
